These Terms of Use ("Terms") govern your access to and use of the BeePlus mobile applications, websites, content, products, and related services (collectively, the "BeePlus Platform" or the "Services").

The BeePlus Platform is operated by BeePlus, a company established in the Kingdom of Saudi Arabia, with its registered address at JEDDAH Ar Rawdah Dist. Prince Sultan ("BeePlus", "we", "us", or "our").

By accessing or using the BeePlus Platform, you agree to be bound by these Terms, which form a binding agreement between you and BeePlus. If you do not agree to these Terms, you may not access or use the BeePlus Platform.

BeePlus may update these Terms from time to time. Any changes will be effective when we post the updated Terms on the BeePlus Platform or otherwise notify you. Your continued use of the BeePlus Platform after such changes means you accept the updated Terms.

1. Overview of the BeePlus Platform

1.1 Technology Platform

The BeePlus Platform is a technology platform that enables users to request on-demand or scheduled delivery and logistics services ("Delivery Services") from independent third-party couriers, drivers, and vehicle owners ("Couriers"). The Platform may also allow businesses and individuals to manage deliveries and related logistics.

1.2 No Transport or Logistics by BeePlus

You acknowledge and agree that:

BeePlus does not provide Delivery Services or transport services;
BeePlus is not a carrier, freight forwarder, or logistics operator; and
All Delivery Services are provided by independent Couriers who are not employees, agents, or representatives of BeePlus.

Unless expressly stated in a written agreement with you, BeePlus' role is limited to providing access to the BeePlus Platform and facilitating payments between you and Couriers.

1.3 Use at Your Own Risk

You understand that your use of the BeePlus Platform and any Delivery Services is at your own risk, to the maximum extent permitted by applicable law.

2. Eligibility and User Categories

2.1 Eligibility

To use the BeePlus Platform, you must:

be at least 18 years old (or the legal age of majority in your jurisdiction, if higher);
have the legal capacity to enter into binding contracts; and
comply with all applicable laws and regulations in the Kingdom of Saudi Arabia.

2.2 User Types

BeePlus may provide different experiences and features for:

"Senders": individuals or businesses using the Platform to request Delivery Services (for example, sending goods from one location to another);
"Couriers": individuals or businesses using the Platform to provide Delivery Services; and
"Business Customers": businesses using BeePlus under separate commercial agreements.

Unless otherwise stated, these Terms apply to all users of the BeePlus Platform.

3. Account Registration and Security

3.1 Account Creation

To use most features of the BeePlus Platform, you must register and maintain an active user account ("Account"). You may be asked to provide:

full legal name;
mobile phone number and verification code;
email address;
payment information; and
for Couriers, additional information such as ID, vehicle details, commercial registration, licenses, and insurance.

3.2 Accuracy of Information

You agree to provide accurate, complete, and up-to-date information and to update it when necessary. If any information is inaccurate or incomplete, BeePlus may suspend or terminate your Account.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account. You must:

keep your password and one-time codes secure;
notify BeePlus immediately of any unauthorized access or suspected breach; and
not share, sell, or transfer your Account to any third party.

BeePlus may assume that any activities occurring under your Account are authorized by you.

4. Use of the BeePlus Platform

4.1 Permitted Use

Subject to your compliance with these Terms, BeePlus grants you a limited, non-exclusive, non-transferable, revocable license to:

access and use the BeePlus applications on your personal device; and
access and use any content and information available via the BeePlus Platform,

in each case solely for your personal or internal business use in connection with requesting or providing Delivery Services.

4.2 Prohibited Activities

You agree not to:

use the BeePlus Platform for any unlawful or prohibited purpose;
transport prohibited, illegal, dangerous, flammable, or hazardous materials;
use the Platform to deliver items that violate intellectual property, privacy, or any third-party rights;
interfere with or disrupt the BeePlus Platform or servers;
attempt to gain unauthorized access to any systems or data;
copy, modify, distribute, or create derivative works of the BeePlus Platform;
reverse engineer, decompile, or attempt to extract the source code of the Platform, except as allowed by applicable law;
scrape, data-mine, or use automated systems (bots, crawlers) to access the BeePlus Platform without our prior written consent;
use the Platform to harass, abuse, or harm any person;
use the Platform while under the influence of alcohol, drugs, or any substance that may impair your judgment (for Couriers); or
bypass any security or access controls.

4.3 Network Access and Devices

You are responsible for:

obtaining network access necessary to use the BeePlus Platform; and
acquiring and updating compatible devices and software.

BeePlus does not guarantee the Platform will function on every device or under all network conditions and is not responsible for any data charges, device damage, or service interruptions.

5. Delivery Requests and Performance of Delivery Services

5.1 Placing a Delivery Request (for Senders)

When you place a delivery request through the BeePlus Platform, you may be required to provide:

pickup and delivery locations;
item description and approximate weight/size;
preferred vehicle type or capacity (if applicable);
time window (on-demand or scheduled); and
any special instructions.

You confirm that all information is accurate and that you have the legal right to send the items.

5.2 Acceptance of Delivery Requests (for Couriers)

Couriers may choose to accept or reject delivery requests at their sole discretion, subject to any applicable Courier agreement. BeePlus does not guarantee any minimum number of requests or earnings.

5.3 Prohibited Items

You must not request the delivery of:

illegal drugs or controlled substances;
weapons, explosives, or ammunition;
hazardous materials, flammable liquids, or chemicals;
counterfeit or stolen goods;
perishable items requiring specialized storage unless expressly supported;
cash, currency, or other monetary instruments;
artworks or items of cultural value;
jewelry, precious metals, gemstones, or other valuables; or
any items prohibited by applicable law or BeePlus policies.

BeePlus and Couriers may refuse or cancel any Delivery Services if they believe the items are unsafe, illegal, or in violation of these Terms.

5.4 Pickup and Delivery

You agree to:

ensure that someone is available at the pickup and delivery locations at the agreed times;
provide safe, lawful access to the premises; and
ensure that the items are properly packed and labeled.

Couriers may refuse to complete a delivery if conditions are unsafe, unlawful, or materially different from what was described in the request.

5.5 Delays and Failures

Delivery times are estimates only. BeePlus does not guarantee that a delivery will occur within a specific time frame. Traffic, weather, or other factors may cause delays. If a delivery cannot be completed (for example, no one is available at the destination), additional fees such as waiting time, return, or redelivery charges may apply.

6. Pricing, Fees, and Payment

6.1 Charges

Use of the BeePlus Platform may result in charges to you for Delivery Services and related fees ("Charges"). Unless otherwise stated, Charges are calculated based on:

a distance-based fee (per km between the pickup and drop-off locations);
a booking fee for each delivery request; and
fees for the actual loading time and waiting time.

In addition, Charges may include:

tolls, parking, or access fees;
surcharges during periods of high demand; and
return or redelivery charges, where applicable.

Where possible, you will be shown a price estimate or a clear pricing structure before you confirm a delivery request. The final Charges may differ from the estimate, for example if the actual distance, time, waiting or loading time, or services provided differ from what was originally estimated.

6.2 Payment Processing

By using the BeePlus Platform, you authorize BeePlus to:

facilitate payment of Charges on behalf of Couriers as their limited payment collection agent; and
charge your selected payment method for all Charges incurred under your Account.

Payment may be processed via credit/debit card, mobile wallet, bank transfer, cash, or other methods supported locally. All amounts are due immediately upon completion of the Delivery Services, unless otherwise indicated.

6.3 Non-Refundable Charges

Except where required by law or explicitly stated otherwise by BeePlus, all Charges are final and non-refundable. BeePlus may, in its sole discretion, grant refunds, partial refunds, or credits, but such decisions do not entitle you to future similar treatment.

6.4 Promotions and Discount Codes

BeePlus may offer promotional codes, coupons, or other discounts ("Promotions"). You agree that:

Promotions may be subject to additional terms;
Promotions may be modified, limited, or withdrawn at any time;
Promotions are not redeemable for cash; and
BeePlus may withhold or cancel Promotions in case of suspicion of fraud, misuse, or abuse.

6.5 Taxes

Charges may be subject to VAT or other applicable taxes under the laws of the Kingdom of Saudi Arabia. You are responsible for paying any such taxes that apply to your use of the BeePlus Platform and Delivery Services.

7. Courier Terms (Summary)

This section provides a summary of key obligations for Couriers. Additional or different terms may apply under a separate Courier or partner agreement.

7.1 Independent Contractor Status

As a Courier:

you act as an independent contractor, not as an employee, agent, or representative of BeePlus;
you are free to choose when and where to provide Delivery Services; and
you are responsible for your own taxes, social insurance contributions, permits, and compliance with law.

7.2 Licenses, Insurance, and Compliance

You must:

hold all required licenses, permits, and approvals to provide Delivery Services;
maintain valid vehicle registration and insurance as required by law;
comply with all traffic, safety, and transport laws; and
ensure your vehicle is safe, clean, and suitable for the items you transport.

BeePlus may request proof of such documentation at any time.

7.3 Quality and Conduct

You agree to:

provide Delivery Services in a professional, safe, and courteous manner;
follow Sender instructions that are lawful and reasonable;
not open, tamper with, or misuse the items you deliver; and
not discriminate against any person based on nationality, religion, gender, or other protected characteristics.

BeePlus may suspend or deactivate your Account if we receive repeated or serious complaints about your conduct.

8. Communications and Notifications

8.1 SMS, Calls, and Push Notifications

By creating an Account, you consent to receive communications from BeePlus, Couriers, and Senders, including:

SMS messages;
calls;
emails; and
in-app or push notifications.

These communications may relate to deliveries, security, account updates, marketing, or other matters. You may opt out of certain marketing communications, but operational messages (for example, about deliveries or security) are necessary for use of the Platform.

8.2 Recording and Monitoring

Subject to applicable law and BeePlus policies, BeePlus may monitor or record communications made through the BeePlus Platform for quality control, training, and dispute resolution purposes.

9. User Content and Feedback

9.1 User Content

You may be able to submit content through the BeePlus Platform, including ratings, reviews, comments, images, and other materials ("User Content").

You retain ownership of your User Content, but by submitting it, you grant BeePlus a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, to use, copy, modify, translate, distribute, display, and otherwise exploit such User Content in all formats and media for any business purpose, to the extent permitted by law.

9.2 Content Standards

You agree not to submit User Content that:

is defamatory, offensive, obscene, or discriminatory;
is unlawful or infringes any rights of third parties;
contains viruses or malicious code; or
violates these Terms or any BeePlus policy.

BeePlus may remove or disable access to any User Content at any time, but is not obligated to do so.

9.3 Feedback

Any feedback, suggestions, or ideas you provide about BeePlus or the BeePlus Platform may be used by BeePlus without restriction and without any obligation to compensate you.

10. Privacy

Your use of the BeePlus Platform is also governed by the BeePlus Privacy Policy, which explains how we collect, use, share, and protect your personal data.

By using the BeePlus Platform, you acknowledge that you have read, understood, and agree to the Privacy Policy.

11. Intellectual Property

11.1 BeePlus IP

The BeePlus Platform and all related content, including software, logos, trademarks, designs, text, graphics, and interfaces (collectively, "BeePlus IP"), are owned by or licensed to BeePlus and are protected by copyright, trademark, and other laws.

11.2 Restrictions

You may not:

use any BeePlus trademarks or logos without our prior written consent;
remove any proprietary notices or labels;
copy, distribute, or exploit BeePlus IP except as authorized by these Terms; or
claim any ownership rights in BeePlus IP.

All rights not expressly granted to you in these Terms are reserved by BeePlus and its licensors.

12. Third-Party Services and Links

The BeePlus Platform may contain links to or integrations with third-party websites, apps, products, or services ("Third-Party Services"). BeePlus does not control and is not responsible for such Third-Party Services. Different terms and privacy policies may apply.

Your use of Third-Party Services is at your own risk. BeePlus does not endorse or guarantee any Third-Party Services, and is not responsible for their content, performance, or actions.

13. Suspension and Termination

13.1 By BeePlus

BeePlus may, at any time and with or without notice, suspend, restrict, or terminate your access to the BeePlus Platform, in whole or in part, if:

you violate these Terms or any applicable law;
we suspect fraud, abuse, or security issues;
we are required to do so by law, court order, or governmental authority; or
we choose to discontinue the BeePlus Platform in whole or in part.

13.2 By You

You may deactivate your Account at any time through the BeePlus Platform or by contacting us. Deactivation does not affect any rights or obligations that arose prior to deactivation, including outstanding Charges or disputes.

13.3 Effect of Termination

Upon termination or deactivation:

your right to use the BeePlus Platform will cease immediately;
any outstanding obligations (including payment of Charges) will survive; and
BeePlus may retain certain information as required or permitted by law and in accordance with the Privacy Policy.

14. Disclaimers

To the maximum extent permitted by applicable law, you agree that:

The BeePlus Platform and all services are provided "as is" and "as available";
BeePlus disclaims all warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
BeePlus does not guarantee that the BeePlus Platform or Delivery Services will be uninterrupted, secure, error-free, or available at all times; and
BeePlus does not guarantee the quality, safety, suitability, or reliability of any Couriers or Delivery Services.

You assume the entire risk arising out of your use of the BeePlus Platform and any Delivery Services.

15. Limitation of Liability

To the maximum extent permitted by law, BeePlus shall not be liable for any:

indirect, incidental, special, consequential, punitive, or exemplary damages;
loss of profits, revenue, data, or goodwill; or
personal injury, property damage, or other loss arising out of or in connection with:
- your use of or inability to use the BeePlus Platform;
- any Delivery Services provided by Couriers;
- any acts or omissions of Couriers, Senders, or other third parties; or
- any unauthorized access to or use of your Account or data.

In no event shall BeePlus' total aggregate liability to you in connection with the BeePlus Platform exceed the total amount of Charges paid by you to BeePlus in the three (3) months preceding the event giving rise to the claim, or SAR amount, whichever is lower, unless otherwise required by mandatory law.

Nothing in these Terms shall limit or exclude any liability that cannot be limited or excluded under applicable law.

16. Indemnity

You agree to indemnify, defend, and hold harmless BeePlus, its directors, officers, employees, and affiliates from and against any claims, demands, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

your use of the BeePlus Platform or Delivery Services;
your breach of these Terms or any applicable law; or
your violation of any rights of any third party, including Couriers, Senders, or recipients.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of laws principles.

17.2 Good-Faith Resolution

In case of any dispute, you agree to first contact BeePlus customer support and attempt to resolve the matter in good faith.

17.3 Courts of Saudi Arabia

If the dispute cannot be resolved amicably, it shall be submitted to the competent courts of the Kingdom of Saudi Arabia, without prejudice to any mandatory provisions of applicable law.

18. Notices

BeePlus may provide notices to you by:

in-app notifications;
email to the address associated with your Account;
SMS to the mobile number associated with your Account; or
posting on the BeePlus Platform.

19. Miscellaneous

19.1 Assignment

You may not assign or transfer your rights or obligations under these Terms without BeePlus' prior written consent. BeePlus may assign or transfer these Terms in whole or in part, including to any affiliate, successor, or purchaser of BeePlus' business or assets.

19.2 No Agency

Nothing in these Terms shall be construed as creating any partnership, joint venture, employment, or agency relationship between you and BeePlus or between you and any Courier.

19.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall continue in full force and effect.

19.4 Entire Agreement

These Terms, together with any additional policies or terms incorporated by reference (including the Privacy Policy), constitute the entire agreement between you and BeePlus regarding your use of the BeePlus Platform, and supersede all prior or contemporaneous agreements or understandings.

19.5 No Waiver

BeePlus' failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged in writing.
